1. Agreement to Terms

Welcome to Vetano. These Terms of Service ("Terms") govern your access to and use of the Vetano mobile application, website, and related services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

Vetano is a video-first hiring platform that connects employers with verified talent. Our Platform enables:

• Talent to create profiles showcasing their skills through video demonstrations
• Identity and skill verification services
• Employers to discover and connect with verified talent
• Communication and scheduling tools for hiring purposes
• Gig and job posting capabilities

3. Eligibility

To use our Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

4. Account Registration

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

5. User Conduct

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, abuse, or harm another person
• Upload malicious code or attempt to compromise Platform security
• Scrape, collect, or harvest user data without consent

• Post content that is offensive, defamatory, or violates others' rights

6. Content and Intellectual Property

Your Content

You retain ownership of content you upload to the Platform ("User Content"). By uploading User Content, you grant Vetano a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Platform.

Our Content

The Platform and its contents, including but not limited to text, graphics, logos, icons, images, and software, are owned by Vetano and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Verification Services

Vetano offers identity and skill verification services. You understand and agree that:

• Verification is based on information provided and may not guarantee complete accuracy
• Vetano is not responsible for the accuracy of third-party verification data
• Verification status may be revoked if false information is discovered
• Employers should conduct their own due diligence when making hiring decisions

8. Payments and Fees

Certain features of the Platform may require payment. By using paid services, you agree to:

• Pay all applicable fees as described on the Platform
• Provide accurate billing information
• Authorize us to charge your payment method for fees incurred

All fees are non-refundable unless otherwise stated or required by law. We reserve the right to change our pricing at any time with reasonable notice.

9. Third-Party Services

The Platform may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is at your own risk and subject to their respective terms and policies.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE SERVICE
• SECURITY OF THE PLATFORM

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETANO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vetano and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your User Content, or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Los Angeles, California.

You agree to waive any right to a jury trial or to participate in a class action lawsuit against Vetano.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vetano regarding your use of the Platform and supersede all prior agreements and understandings.
